End User License Agreement (EULA)

Please read this End User License Agreement ("Agreement", "EULA") carefully before accessing or using the NarrowStack Cloud platform, client portal, APIs, and associated infrastructure management services (collectively, the "Service") operated by NarrowStack Inc. ("NarrowStack", "we", "us", or "our").
By signing up, accessing, or using the Service, you ("Client", "User", "you") acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you are entering into this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind such entity.
1. Grant of License and Scope of Access
1.1 Limited License
Subject to your continued compliance with this Agreement and payment of applicable subscription or service fees, NarrowStack grants you a limited, non-exclusive, non-transferable, revocable, and non-sublicensable license to:
- Access and utilize the NarrowStack Cloud client portal.
- Configure, monitor, and provision cloud workloads through our control plane and telemetry dashboards.
- Integrate approved APIs and client SDKs in accordance with provided documentation.
1.2 Access Credentials & Seat Allocation
Access credentials, including usernames, passwords, API tokens, and SSO authenticators, are strictly confidential and designated for authorized personnel only. You are solely responsible for maintaining the confidentiality of your credentials and for all activities that occur under your accounts.
2. Acceptable Use Policy
When utilizing the Service, you agree that you will not:
- Reverse Engineer: Decompile, disassemble, reverse engineer, or attempt to derive the source code or architecture of the platform, control plane, or proprietary agent runners.
- Disrupt Operations: Interfere with, overburden, or compromise the operational integrity, security, or availability of NarrowStack infrastructure, telemetry pipelines, or multi-tenant clusters.
- Unauthorized Probing: Conduct automated vulnerability scanning, penetration testing, or stress tests without prior written authorization from NarrowStack security teams.
- Unlawful Workloads: Deploy malware, crypto-mining operations, command-and-control instances, or execute unauthorized automated outbound scanning.
- Circumvent Controls: Bypass quota constraints, rate limits, tier gating, or role-based access restrictions (RBAC) enforced by the platform.
3. Telemetry, Telepresence, and Client Data
3.1 Ownership of Client Data
You retain all right, title, and interest in and to any proprietary workloads, database payloads, custom configuration manifests, and code artifacts that you deploy or process via the Service ("Client Data").
3.2 Platform Telemetry
NarrowStack collects operational metrics, system performance statistics, latency telemetry, error logs, and resource utilization counters. This data is utilized to maintain cluster stability, compute billing meters, and proactively optimize node orchestration. Aggregated and anonymized data may be used to enhance platform capabilities.
3.3 Data Protection and Compliance
NarrowStack enforces industry-standard administrative, physical, and technical safeguards designed to protect the security, confidentiality, and integrity of your data, including encryption in transit (TLS 1.3) and at rest (AES-256).
4. Availability, Service Levels & Maintenance
4.1 Service Availability
NarrowStack strives to provide high availability across all managed regions in accordance with your designated Service Level Agreement (SLA). Details regarding uptime guarantees, credit remedies, and incident escalation procedures are outlined in your enterprise schedule.
4.2 Scheduled Maintenance
We reserve the right to perform scheduled maintenance, updates, and kernel patching on host infrastructure. NarrowStack will provide advance notification through the portal status banner and automated notification webhooks for planned maintenance windows.
5. Intellectual Property Rights
The Service, its underlying architecture, user interface, telemetry visualizers, proprietary orchestration engines, trademarks, and documentation are and shall remain the exclusive property of NarrowStack and its licensors. Except for the limited license expressly granted herein, no rights or licenses are conferred by implication or estoppel.
6. Confidentiality
"Confidential Information" encompasses all non-public information disclosed by either party, including business terms, architecture designs, API specifications, and performance benchmarks. Both parties agree to:
- Protect the other party's Confidential Information with the same degree of care used for their own sensitive materials (no less than reasonable care).
- Restrict disclosure strictly to employees, contractors, and legal advisors who require access for the performance of this Agreement.
7. Term and Termination
7.1 Term
This Agreement takes effect upon your initial access to the Service and continues until terminated in accordance with this section or the expiration of your subscription schedule.
7.2 Termination for Convenience & Cause
- You may terminate your account at any time via the client portal account management settings or by contacting your dedicated account executive.
- NarrowStack may suspend or terminate access immediately upon written notice if you materially breach any provision of this Agreement or fail to resolve billing delinquency within fifteen (15) days of notice.
7.3 Data Retrieval Post-Termination
Upon termination, you will have a thirty (30) day retrieval window to export your configurations and data backups before instances and telemetry records are permanently purged in accordance with our retention policy.
8. Disclaimer of Warranties
EXCEPT AS EXPRESSLY SET FORTH IN A BINDING ENTERPRISE SERVICE LEVEL AGREEMENT, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. NARROWSTACK DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL NARROWSTACK OR ITS OFFICERS, DIRECTORS, EMPLOYEES, OR SUPPLIERS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, DATA, USE, GOODWILL, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH THE USE OF OR INABILITY TO USE THE SERVICE.
NARROWSTACK'S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE LIMITED TO THE TOTAL AMOUNT PAID BY YOU FOR THE SPECIFIC SERVICE GIVING RISE TO THE CLAIM IN THE TWELVE (12) MONTHS PRECEDING THE INCIDENT.
10. Modifications to this Agreement
NarrowStack reserves the right to modify or replace this EULA periodically. Significant revisions will be announced with at least thirty (30) days notice via email to administrative account holders or by a prominent banner within the portal. Continued use of the platform after effective revisions constitutes acceptance of the updated terms.
11. Governing Law & Dispute Resolution
This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved through binding arbitration administered in accordance with the American Arbitration Association (AAA) Commercial Arbitration Rules.
